Terms of Service for Greenfield Dairy Co.

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern access to and use of the products, services, ordering channels, delivery arrangements, storage facilities, and related support services provided by Greenfield Dairy Co. (the “Company”, “we”, “us”, or “our”).
By placing an order, entering into a supply arrangement, receiving deliveries, using our services, or otherwise engaging with Greenfield Dairy Co., you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services or place orders with us.
These Terms apply to business customers, including retailers, cafes, hospitality clients, and other commercial purchasers, unless we expressly agree otherwise in writing.
2. Scope of Services
Greenfield Dairy Co. provides dairy-related products and services, which may include, without limitation:
- Fresh milk supply and delivery;
- Dairy product wholesale for retailers and cafes;
- Butter, cream, and yogurt distribution;
- Private label dairy packing;
- Refrigerated storage and cold-chain logistics;
- Farm-to-business dairy sourcing; and
- Custom order fulfilment for hospitality clients.
We may modify, suspend, or discontinue any product, service, delivery route, packaging option, or logistics arrangement at any time, subject to any applicable contractual commitments and reasonable notice where practicable.
All products are supplied subject to availability, seasonal variation, production constraints, transport conditions, and quality control requirements. Product descriptions, specifications, weights, pack sizes, and images are provided for general guidance only and may vary.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and current account, business, delivery, and billing information;
- Ensure that orders are placed by authorised personnel;
- Maintain appropriate storage conditions for dairy products, including refrigeration and food safety controls, upon delivery;
- Inspect deliveries promptly and notify us of shortages, damage, temperature concerns, or quality issues without undue delay;
- Comply with all applicable food safety, hygiene, labelling, licensing, and consumer protection laws relevant to your business;
- Use our products only for lawful business purposes and in accordance with any handling instructions, shelf-life guidance, or storage requirements provided by us or the manufacturer;
- Not resell, repackage, relabel, or alter products except as expressly permitted in writing;
- Not misuse our ordering systems, delivery services, or storage facilities; and
- Promptly pay all amounts due in accordance with these Terms and any agreed credit arrangements.
You are responsible for ensuring that any end customers, staff, contractors, or third parties handling our products comply with relevant safety and storage requirements. We are not responsible for losses arising from improper handling after delivery, unless caused by our proven breach of these Terms or applicable law.
4. Payment Terms and Conditions
Unless otherwise agreed in writing, all prices are stated in pounds sterling (GBP) and are exclusive of VAT and any other applicable taxes, duties, levies, or charges, which shall be added where required by law.
Payment terms may vary depending on the customer relationship, order type, and credit approval. Where credit terms are granted, invoices must be paid by the due date stated on the invoice or order confirmation. If no due date is specified, payment is due within 14 days of the invoice date.
We may require advance payment, deposits, minimum order values, standing orders, or account security measures for certain products or services, including private label packing, cold-chain logistics, and custom fulfilment.
If payment is not received when due, we reserve the right to:
- Suspend or cancel further deliveries or services;
- Charge interest on overdue sums at the maximum rate permitted by applicable law, accruing daily until paid in full;
- Recover reasonable debt collection, legal, and enforcement costs;
- Revoke credit terms; and
- Require payment in advance for future orders.
Any disputes regarding invoices must be raised in writing within 7 days of the invoice date, clearly identifying the disputed amount and the reasons for the dispute. Undisputed amounts must still be paid on time.
5. Cancellation and Refund Policy
Because our services involve perishable goods, refrigerated handling, and scheduled logistics, cancellations and refunds are limited and subject to the following conditions:
- Orders for fresh dairy products, custom-packed goods, and scheduled deliveries may not be cancelled once preparation, picking, packing, or dispatch has begun;
- Recurring supply arrangements may be cancelled by giving the notice period specified in the relevant contract, order schedule, or account agreement;
- Any cancellation request must be submitted in writing and is effective only when confirmed by us;
- Special-order items, private label products, bespoke packaging, and made-to-order hospitality fulfilment are non-cancellable and non-refundable once production or procurement has commenced;
- Refunds, replacements, or credits may be issued at our discretion where products are proven to be defective, damaged on delivery, or materially non-conforming, provided that notice is given promptly and the products are retained for inspection if requested; and
- No refund will be due for issues caused by improper storage, delayed receipt, mishandling, or failure to follow instructions after delivery.
Where a refund or credit is approved, it will normally be processed using the original payment method or as an account credit, within a reasonable period after approval.
6. Liability Limitations
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
Subject to the foregoing, Greenfield Dairy Co. shall not be liable for:
- Indirect, incidental, special, consequential, or punitive losses;
- Loss of profit, revenue, business, goodwill, anticipated savings, or opportunity;
- Loss, spoilage, or deterioration of products after delivery where caused by improper storage, handling, or delay outside our control;
- Losses arising from inaccurate information supplied by you;
- Delays or failures caused by third-party carriers, suppliers, or infrastructure providers beyond our reasonable control; or
- Any failure by you to comply with food safety, refrigeration, or handling requirements.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any order, service, or supply arrangement shall be limited to the amount paid or payable by you for the specific products or services giving rise to the claim during the 3 months preceding the event giving rise to liability, unless a different limit is expressly agreed in writing.
You acknowledge that dairy products are perishable and that quality, shelf life, and condition may be affected by factors outside our control once delivery has occurred.
7. Intellectual Property Rights
All intellectual property rights in and to our branding, trade names, logos, packaging designs, product descriptions, photographs, website content, order forms, specifications, recipes, process documentation, and proprietary materials remain the property of Greenfield Dairy Co. or our licensors.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use our materials solely for the purpose of receiving, promoting, storing, reselling, or using the products in the ordinary course of your business, subject to these Terms and any separate written agreement.
You must not copy, reproduce, modify, distribute, reverse engineer, or create derivative works from our materials except as expressly authorised in writing. Any goodwill arising from permitted use of our marks or materials shall accrue to Greenfield Dairy Co.
If we create private label packaging, bespoke labels, or custom artwork for you, ownership and usage rights will be governed by the relevant written agreement. In the absence of such agreement, all underlying intellectual property rights remain with Greenfield Dairy Co. unless and until expressly assigned in writing.
8. Data Protection and Privacy
We process personal data in connection with customer accounts, orders, deliveries, billing, communications, and service administration. We will handle personal data in accordance with applicable data protection laws and our privacy practices.
Where we act as a data controller, we will use personal data for purposes including:
- Managing customer relationships and accounts;
- Processing orders, payments, and deliveries;
- Providing customer support and service updates;
- Maintaining records, compliance, and audit trails;
- Preventing fraud, misuse, and unauthorised access; and
- Meeting legal and regulatory obligations.
Where we process personal data on your behalf, each party shall comply with its respective legal obligations and any applicable data processing agreement. You are responsible for ensuring that you have a lawful basis for sharing personal data with us and for providing any required notices to your staff, customers, or other data subjects.
We may share data with logistics providers, payment processors, IT service providers, and professional advisers where necessary for service delivery, account administration, or legal compliance.
9. Force Majeure
We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:
- Severe weather, flood, fire, or natural disaster;
- Transport disruption, road closures, fuel shortages, or vehicle breakdowns;
- Power failure, refrigeration failure, or utility interruption not caused by our negligence;
- Industrial action, labour shortages, or supplier failure;
- Pandemic, epidemic, public health emergency, or government restriction;
- War, terrorism, civil unrest, or sabotage; and
- Any act or omission of a third party outside our reasonable control.
Where a force majeure event occurs, we may suspend performance, extend delivery times, allocate available stock among customers, or cancel affected orders without liability, provided we act reasonably in the circumstances.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our services, operational requirements, or applicable law. The updated Terms will take effect from the date stated in the revised version, unless otherwise specified.
Where practicable, we will provide reasonable notice of material changes. Your continued use of our services, placement of orders, or acceptance of deliveries after the effective date of revised Terms constitutes acceptance of those changes.
If you do not agree to revised Terms, you should cease using our services and contact us to discuss any outstanding orders or contractual arrangements.
11. Applicable Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws applicable in the jurisdiction in which Greenfield Dairy Co. operates, unless otherwise required by mandatory law or expressly agreed in writing.
Subject to any mandatory legal requirements, the courts having competent jurisdiction over the Company’s principal place of business shall have exclusive jurisdiction to settle any dispute arising from or relating to these Terms, any order, or any supply arrangement.

13. Severability Clause
If any provision of these Terms is held to be invalid, unlawful, void, or unenforceable by a court or competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, severed from these Terms.
The remaining provisions shall continue in full force and effect. Any failure or delay by Greenfield Dairy Co. to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Entire Agreement: These Terms, together with any written order confirmation, account agreement, service schedule, or other document expressly incorporated by reference, constitute the entire agreement between you and Greenfield Dairy Co. regarding the subject matter hereof, superseding prior discussions or understandings to the extent permitted by law.
